Parties to This Agreement
This Terms of Service (“Agreement”) is a legal contract between TEC Law, Inc. d/b/a Abe Legal (“Abe Legal,” “we,” “our,” or “us”), a Delaware corporation located at 11810 Grand Park Avenue, Suite 500, North Bethesda, MD 20852, USA, and you (“you,” “your,” or “Counsel”), the attorney or law firm personnel accessing or using any Abe Legal website, mobile property, software, or services (collectively, the “Services”). By (a) accessing www.abe.legal or any related domain (the “Site”), (b) clicking or tapping “I Agree,” or (c) otherwise using the Services, you accept and agree to be bound by this Agreement.

1. What Abe Legal Is — and Is Not

Technology Platform, Not a Law Firm. Abe Legal is a software marketplace that:
  • matches individual and business clients (“Clients”) with independent, licensed attorneys (“Counsel”);
  • offers AI-enabled intake, scheduling, and workflow tools; and
  • processes payments through Stripe so Counsel receive fees quickly.
Abe Legal does not provide legal advice, establish an attorney–client relationship, or participate in legal representation between Counsel and Clients.

Counsel Independence. Counsel alone exercise independent professional judgment, choose whether to accept engagements, and must enter a separate written engagement agreement with each Client. Abe Legal does not interfere with professional services or fees.

2. Eligibility
  • Age. You must be 18 years or older.
  • Licensure & Standing. You represent and warrant you are duly licensed and in good standing in every jurisdiction where you provide legal services.
  • Insurance. You agree to maintain malpractice coverage consistent with the rules of each jurisdiction in which you practice.
  • Geography. The Site and Services are designed primarily for use in the United States and its territories.
3. Account Security & Acceptable Use
  • Account Responsibility. You are responsible for all activity under your account.
  • Credential Sharing Prohibited. Do not share your password or allow others to use your account.
  • No Off-Platform Solicitation. You will not divert Clients off the Abe Legal platform to avoid service fees.
  • No Misuse. You will not scrape, reverse-engineer, transmit spam, or post unlawful, infringing, or harassing content. Abe Legal may suspend or terminate accounts for violations.

4. Stripe Payout Setup & Subscription Fees
  • Stripe Express Required. To receive payouts, you must create or connect a Stripe Express account: Click Here to Set Up Stripe Payout.  If the link fails, email abe@abe.legal for assistance. You remain responsible for completing setup.
  • Lawyer Subscription. Participation in the Abe Legal Lawyer Subscription Program (currently month-to-month) is subject to the recurring fee displayed at checkout and billed until cancelled (see §11).
  • Consultation Pricing. Consultation fees are displayed to Clients at booking and are subject to change. Abe Legal collects payment, deducts its marketplace/service fee, and remits the balance to Counsel via Stripe.

5. Confidentiality & Privacy
  • Communications with Abe Legal staff or bots are not attorney-client privileged.
  • Your use of the Site and Services is governed by the Abe Legal Privacy Policy, incorporated herein.
6. Proprietary Rights

Abe Legal owns all right, title, and interest in the Site, Services, AI tools, and all related intellectual-property rights. You may not copy, modify, distribute, or create derivative works without express written consent.

7. Disclaimers
  • No Warranty. The Site and Services are provided “as is” and “as available.” Abe Legal disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
  • No Guarantee of Work. Abe Legal does not guarantee any minimum number of Client leads or engagements.
  • Third-Party Content. Abe Legal is not responsible for content posted by Users or third parties.

8. Limitation of Liability

To the fullest extent permitted by law, Abe Legal’s total cumulative liability to you for any claim arising out of or relating to the Services will not exceed USD $100. Abe Legal will not be liable for any indirect, incidental, punitive, or consequential damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Abe Legal and its officers, directors, employees, and agents from any claims or damages arising out of (a) your provision of legal services, (b) your breach of this Agreement, or (c) your violation of law or ethics rules.

10. Complaints & Government Inquiries

Law-enforcement or regulatory requests may be sent to abe@abe.legal. We will comply with lawful requests after notice to affected Users when permitted.

11. Term, Cancellation & Automatic Renewal
  • This Agreement is effective until terminated.
  • Counsel Subscription: You may cancel anytime in your dashboard; service continues through the paid-through date and fees are non-refundable.
  • Abe Legal may modify or discontinue the Services, or terminate accounts, at its discretion.

12. Billing & Price Changes
  • Subscription fees bill automatically each cycle on the original purchase date.
  • Abe Legal may adjust prices with notice via email or the dashboard; new prices take effect on the next billing cycle.

13. Arbitration & Class-Action Waiver

Any dispute with Abe Legal will be resolved by binding individual arbitration under the American Arbitration Association’s Commercial Rules. No class or representative actions are permitted. Either party may seek injunctive relief in court to protect intellectual-property or trade-secret rights.

14. Modifications

Abe Legal may update these Terms by posting a revised version on the Site. Continued use after the effective date constitutes acceptance.

15. Miscellaneous
  • Governing Law: District of Columbia law, without regard to conflict-of-law rules, governs this Agreement, except that the Federal Arbitration Act governs the arbitration clause.
  • Entire Agreement: This Agreement (and incorporated policies) is the entire agreement between you and Abe Legal regarding the Services and supersedes all prior agreements.
  • Severability: If any provision is unenforceable, the remaining provisions remain in force.
  • No Waiver: A party’s failure to enforce any provision is not a waiver of future enforcement.
